Geodesix Content Licensing Terms of Use

Effective Date: July 30, 2025

Welcome to Geodesix. By clicking “I Agree,” you (“You” or “Publisher”) accept and agree to be bound by these Content Licensing Terms of Use (“Agreement”) with Geodesix Inc. (“Geodesix,” “We,” or “Us”). Please read carefully before consenting.

1. Grant of Rights

By accepting these terms, You grant Geodesix a non-exclusive, worldwide right to: Access, scrape, collect, and store your publicly available content (“Content”); Index and process the Content; Make the Content available on demand to large language models (LLMs) or other AI systems for use in generating responses.

2. Negotiation and Licensing on Your Behalf

You authorize Geodesix to: Negotiate usage fees or licensing terms with third-party LLM providers for access to your Content; Represent You in these negotiations to secure reasonable compensation for such usage.

3. Revenue Collection and Payment

Geodesix will collect all fees paid by LLM providers for use of your Content. Geodesix will retain a 20% service fee from the total collected. The remaining 80% will be remitted to You on a monthly basis, no later than [e.g. 30 days] after the end of each month. Geodesix will provide a monthly statement detailing fees collected, the service fee, and your share.

4. Ownership

You retain all ownership rights in your Content. Nothing in this Agreement transfers ownership of your Content to Geodesix.

5. Term and Termination

This Agreement remains in effect until terminated by either party with [e.g. 30 days] written notice. Termination does not affect Geodesix’s obligation to remit fees already collected or accrued for usage negotiated while this Agreement was active.

6. Your Representations

By accepting these terms, You represent and warrant that: You have all necessary rights to grant the permissions described in this Agreement; Your Content does not infringe any third-party rights.

7. Limitation of Liability

To the maximum extent permitted by law, Geodesix will not be liable for any indirect, incidental, or consequential damages arising from this Agreement. Geodesix’s total liability for any claim under this Agreement is limited to the amount of fees earned by Geodesix from your Content in the preceding twelve (12) months.

8. Governing Law

This Agreement is governed by the laws of [Jurisdiction]. You agree to submit to the exclusive jurisdiction of the courts in [Jurisdiction] for any dispute arising from this Agreement.

9. Entire Agreement

This Agreement constitutes the entire understanding between You and Geodesix regarding the licensing of your Content for LLM usage and supersedes all prior agreements or understandings.
